Terms of Service

Platform:

The Learnova web application, mobile applications, APIs, and related services.

Institution:

An academy, school, college, or other educational organisation that subscribes to Learnova.

Administrator:

A user authorised by an Institution to manage the Platform on its behalf.

End User:

Teachers, students, parents, and staff who access the Platform through an Institution's account.

Subscription:

The monthly or annual plan purchased by an Institution.

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• Institutions are responsible for all activities that occur under their account, including actions by Administrators and End Users.
• You must be at least 18 years old to create an Institution account. End Users under 18 may only access the Platform through an Institution account managed by an adult.
• You must notify us immediately at legal@learnova.pk if you suspect unauthorised access to your account.

• Subscriptions are billed monthly or annually in advance in Pakistani Rupees (PKR) unless otherwise agreed in writing.
• All fees are exclusive of applicable taxes. Institutions are responsible for any withholding tax or sales tax obligations under Pakistani law.
• Subscriptions auto-renew unless cancelled at least 7 days before the renewal date.
• We reserve the right to suspend access if payment is overdue by more than 15 days. We will provide at least 7 days' written notice before suspension.
• Refunds are not provided for partial months or unused features, except where required by applicable law.
• We may adjust pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of Pakistani law, including the Prevention of Electronic Crimes Act 2016 (PECA).
• Upload, share, or transmit content that is defamatory, obscene, harassing, or violates any third party's rights.
• Attempt to gain unauthorised access to any part of the Platform, other accounts, or Learnova's infrastructure.
• Reverse engineer, decompile, or create derivative works of the Platform.
• Use automated scripts, bots, or scrapers to extract data without our written consent.
• Resell, sublicense, or white-label the Platform without our prior written consent.
• Transmit unsolicited bulk messages ("spam") through our WhatsApp or messaging features.

• Learnova and its licensors retain all intellectual property rights in the Platform, including software, design, trademarks, and content provided by Learnova.
• You retain ownership of all data and content you upload to the Platform ("Customer Data"). You grant Learnova a limited licence to use Customer Data solely to provide and improve the Platform.
• You may not use the Learnova name, logo, or trademarks without our prior written consent.

• Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms.
• Institutions are the data controller for their End Users' personal data. Learnova acts as data processor.
• Institutions must obtain all necessary consents from End Users (including parents/guardians for minors) before enrolling them on the Platform.
• We implement industry-standard security measures to protect Customer Data. In the event of a data breach, we will notify affected Institutions within 72 hours of becoming aware.

• The automated WhatsApp fee reminders and notifications feature operates via Meta's WhatsApp Business API. By enabling this feature, you confirm that your Institution has obtained the necessary consent from recipients.
• Learnova is not responsible for the delivery, availability, or accuracy of third-party messaging services including WhatsApp.
• You must comply with Meta's WhatsApp Business Policy when using messaging features.

• We target 99.5% uptime, excluding scheduled maintenance windows (notified 48 hours in advance).
• The Platform is provided with an offline-first mode for critical features. Full functionality requires internet connectivity.
• We are not liable for outages caused by third-party services (internet providers, WhatsApp, payment gateways, cloud infrastructure).

• Either party may terminate a Subscription at the end of the current billing period by providing written notice.
• We may terminate or suspend your account immediately for material breach of these Terms, including non-payment, illegal activity, or threats to the security or integrity of the Platform.
• Upon termination, you may request an export of your Customer Data within 30 days. After 30 days, we may delete Customer Data in accordance with our data retention policy.

• To the maximum extent permitted by applicable law, Learnova's total liability for any claims arising out of or related to these Terms shall not exceed the amount paid by you in the 3 months preceding the claim.
• Learnova is not liable for indirect, incidental, consequential, or punitive damages, including loss of data, revenue, or business opportunities.
• Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

• These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan.
• Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration in Lahore under the Arbitration Act 1940.
• Nothing prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction in Pakistan.

We may update these Terms from time to time. We will notify Administrators via email at least 14 days before any material changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
